The Role
We are looking for a smart, ambitious, driven Legal Counsel to assist with company secretarial work, governance, commercial contracts, investigations and in-house policies for Paymentsense Limited (t/a Dojo), and the wider group company. You will need to hit the ground running from the start, so we are looking for self-starters who relish that kind of challenge and pace in helping the business. You will currently be either in private practice or a relevant in-house role. You will be a key member of our group Legal team, reporting directly to the General Counsel. You will be involved in legal, commercial and governance related matters in all aspects and levels of our business, working closely with the group Legal and Compliance team, the group Procurement team and the wider business in London, Bristol, Hull and Dublin.
What You Will Do...

Working with the group Legal team, group Procurement team and external counsel on a broad range of company secretarial issues, corporate governance, commercial contract negotiations and issues.

Providing corporate governance and company secretarial support to the Paymentsense group of companies, including:
-
preparing agendas for board and committee meetings;

reviewing, preparing, and distributing board materials containing background information to assist with board and committee meeting preparation;

attending and managing board meetings from a corporate governance perspective;

preparing minutes of meetings of the board and its committees;
-
advising and preparing legal documentation to implement corporate changes, including drafting board and shareholder resolutions, amendments to constitutional documents and frameworks;

monitoring corporate governance and other developments that the board and/or its committees need to know;

ensuring compliance with legal, regulatory and corporate governance requirements in respect of decision making and advising on the same;

facilitating director education and board and committee assessments;

maintaining records of the materials provided to the board and its committees to substantiate that directors are given appropriate information on which to base decisions; and
-
providing general company secretarial support to the business, including scheduling meetings, deadlines, and other matters for the board and its committees, organising corporate governance training and managing filings to the Companies Registration Office as required.

Working with the group Legal team, Procurement team and external counsel on a broad range of commercial contract negotiations and issues.

Reviewing and updating commercial contracts for our business, working with various Execs and internal stakeholders.

Assisting with other aspects that may impact an in-house legal function, for example around data privacy, outsourcing, investigations, commercial litigation, employment law and health and safety.

Keeping abreast of legal developments within or outside of the business.
What You Will Bring...
-
Qualified lawyer with strong experience in the corporate governance, commercial contracts and financial services space which was gained in private practice from a top law firm, and ideally with some in-house or in-house-secondment experience as well.

Depth and breadth of experience in corporate governance, commercial contracts and company secretarial support – this will be a key part of the role.

Interest in working with a regulated e-money and payments business; ideally one focused on merchant acquiring, and an enthusiasm for innovation in technology.

A team player with great people skills and a good sense of humour who can effectively and efficiently collaborate, building relationships with colleagues throughout the business.

An analytical mind able to “see” the complexities of corporate arrangements and commercial contracts but then simplify issues for others.

A pragmatic, commercial and creative approach to problem solving and decision-making.
